Affiliate Distributors Terms of Agreement
0. Service
01. We understand the critical role that effective marketing and sales strategies play for our Affiliates/Distributors. To facilitate your success, we offer a comprehensive range of support services. This includes the creation of targeted marketing content specifically tailored to promote our products and services.
We collaborate closely with you to develop compelling content suitable for all your social media platforms, including live streams, as well as am/fm and internet radio and traditional tv and cable broadcasting. Our objective is to provide you with the necessary tools and resources to efficiently sponsor and sell our products, thereby enhancing your market reach and impact.

02. Ownership of Content: The Company shall own all rights, title, and interest in all content created under this Agreement. The Company must approve in writing the use of any audio, video or image on advertising campaigns.

03 Approval: The Company shall have the right to approve or disapprove any content created by any other party as it pertains to this agreement before it is published or enacted. Every project up to and including marketing, advertising, etc. shall be signed off on in writing by the Company.

0.4 Indemnification: The Affiliate/Distributor shall indemnify and hold harmless the Company from any and all claims, damages, and expenses (including reasonable attorney’s fees) arising out of or related to the partner services under this Agreement.

0.5 The Company may terminate this Agreement immediately if the Affiliate/Distributor makes an unapproved claim that breaches any material provision of this Agreement.

0.6 As an Affiliate/Distributor you are required to maintain your own website and online dispensary/store, which will be provided by the Parent Company. The cost for this service is $49.00 per month, and this payment must be automatically maintained using
a credit or debit card kept on file.

0.7 Payment are processed every thirty days from the date of signing up. It's important to note that a failure to make this monthly payment can interrupt your ability to receive funds from your sales. Ensuring timely payments helps to keep your online dispensary/store active and allows you to continue earning and receiving sales commissions seamlessly.​
1. Compensation & Commission Structure
1.1 The Affiliate/ Distributor. shall receive a commission of 20% on each unit sold. The 20% commission will be based on a unit price of $84, which equates to $16.80 per unit sold.
1.2 The Affiliate/ Distributor. shall also receive an additional 5% of each unit sale, based on $67.80, which equates to $3.36 per unit sold. Once the Affiliate signs up twelve (12) accounts.
1.3 The total commission per unit sold by the Affiliate shall be $20.16 per unit sold.
2. Additional Commission for Referred Accounts
2.1 Affiliate/ Distributor shall receive a 3% commission on each sale from those accounts.
2.2 The 3% commission will be based on a unit price of $84, which equates to $2.52 per unit sold.
3. Earnings Potential (e.g. - The Goal - $10,000+ per Month = 10 Order per Day)
3.1 If the Affiliate/Distributor sells 10 units per day, their earnings would be calculated as follows:
$201.60 per day (10 units x $20.16 per unit)
$6,048 per month ($201.60 x 30 days)
3.2 The additional 5% bonus would add an extra $1,008 per month.
3.3 If the Affiliate/ Distributor’s referred accounts each sold 10 units per day, the Affiliate/ Distributor would earn an additional $3,600 per month in residual income (based on $2.52 per unit for referred accounts).
4. Payment Terms
4.1 As per instructions, commission payments will be paid to the account of the financial institution designated by the Affiliate/Distributor within 48 to 72 hours as per the merchant processor service agreement. This will include but not limited to both the principal and residual accounts.
4.2 The Parent Company reserves the right to adjust commission payments in the event of returns, chargebacks, or fraudulent activity.
4.3 Commision rate percentage payouts can change based upon special campaign products offered and sold.
5. Term & Termination
5.1 This Agreement shall commence on the Effective Date and shall continue unless terminated by either party with a 30-day written notice.
5.2 The Parent Company reserves the right to terminate this Agreement immediately in the event of fraudulent activity, breach of contract, or unethical business practices.
6. Confidentiality & Non-Disclosure
6.1 The Affiliate/Distributor agrees to keep all proprietary information, including commission structures and sales strategies, confidential and not disclose such information to any third party.
7. Governing Law
7.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming without giving effect to any choice of law or conflict of law provisions.
7.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement on the date terms were agreed.
